AGRIP BALLS – Online Sale of Padel Accessories Website: www.agrip-balls.com

1. Scope of Application

These Terms and Conditions (T&C) govern all sales made through the website www.agrip-balls.com, operated by AGRIP BALLS (hereinafter referred to as “the Seller”).

They apply to:

  • Private consumers (B2C): Subject to the French Consumer Code (Code de la consommation).
  • Professionals (B2B): Subject to the French Commercial Code (Code de commerce), excluding consumer protection provisions.

Any order placed implies full and unconditional acceptance of these T&C.

2. Products

AGRIP BALLS sells padel accessories.

  • Essential product characteristics are described on the website.
  • Product photos are for illustrative purposes only and are not contractually binding.

3. Orders

  • Orders are exclusively placed on www.agrip-balls.com.
  • The Seller reserves the right to cancel any order in case of:
    • Non-payment,
    • Prior disputes,
    • Suspected fraud.

4. Prices

Prices are indicated in Euros (€):

  • Including VAT (TTC) for private consumers.
  • Including VAT (TTC) for professionals.

Price Changes:

  • The Seller may modify prices at any time.
  • Products are billed based on the prices in effect at the time of the order.

5. Payment

  • Payment is due at the time of order.
  • Accepted payment methods: Credit/debit card, bank transfer, or any other method offered on the site.

Late Payment (B2B):

  • In case of late payment, penalties will apply at the legal interest rate in force, plus a flat fee of €40 (Art. L441-10 of the French Commercial Code).

6. Delivery

  • Products are delivered to the address provided by the Customer.
  • Delivery times are indicative only.

Risk Transfer:

  • B2C: The Seller is responsible until the product is handed over to the consumer.
  • B2B: Risk transfers to the buyer upon handover to the carrier.

7. Reception and Claims

  • The Customer must verify the conformity of the products upon receipt.
  • Any claim must be submitted within 5 business days of delivery.
  • After this period, products will be deemed compliant.

8. Right of Withdrawal (B2C Only)

Under Articles L221-18 et seq. of the French Consumer Code, consumers have a 14-day withdrawal period from receipt of the order, without justification or penalty.

Return Conditions:

  • Products must be returned in their original condition, at the Customer’s expense.
  • Refunds will be processed within 14 days of receiving the returned items.

⚠️ This right does not apply to professionals (B2B).

9. Warranties

  • Consumers (B2C):
    • Legal guarantee of conformity (Art. L217-4 et seq. of the French Consumer Code).
    • Legal guarantee against hidden defects (Art. 1641 et seq. of the French Civil Code).
  • Professionals (B2B):
    • Only the guarantee against hidden defects applies, unless a specific contractual guarantee is provided.

10. Liability

  • AGRIP BALLS shall not be liable for indirect damages (loss of revenue, loss of customers, etc.).
  • Liability is limited to the order amount.

11. Retention of Title

  • Products remain the property of the Seller until full payment of the price.

12. Force Majeure

  • The Seller shall not be liable in cases of force majeure (strikes, fires, pandemics, supplier stock shortages, etc.).

13. Applicable Law and Jurisdiction

  • These T&C are governed by French law.

Dispute Resolution:

  • Consumers (B2C): Disputes will be brought before the competent courts under legal rules.
  • Professionals (B2B): Disputes will be submitted to the Commercial Court at the Seller’s registered office.
